1. Agreement to Terms

By accessing or using Pnyx AI's services, including our API, playground, leaderboard, and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Alpha Service Notice

Pnyx AI is currently in private alpha. During this phase:

• The Service is provided "as-is" with no guarantee of availability or performance
• Features, APIs, and functionality may change without notice
• Service interruptions, bugs, and breaking changes may occur
• Alpha access is by invitation only and may be revoked at any time
• We may reset data, including API keys and usage history, during development
• Feedback and bug reports are encouraged via GitHub or email

Alpha users acknowledge these limitations and agree to provide constructive feedback to help improve the platform.

3. Description of Service

Pnyx AI is an intelligent semantic routing platform that automatically routes AI requests to the most cost-effective model capable of handling each task.

Our Service:

• Analyzes prompts across five skill dimensions using our proprietary A-VERT evaluation methodology
• Routes requests to appropriate AI model providers (OpenAI, Anthropic, Google, Meta, and others)
• Provides performance metrics and model comparisons via our public leaderboard
• Offers a playground interface for testing and exploration
• Provides a Model Advisor feature for model selection recommendations

4. Account Registration and Security

Registration

• Early access requires providing a valid email address
• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your API keys
• You must notify us immediately of any unauthorized access

API Keys

• Each user receives unique API keys for authentication
• You are solely responsible for activity under your API keys
• Never share API keys or commit them to public repositories
• We may revoke compromised keys without notice

5. Acceptable Use

You agree to use our Service only for lawful purposes. You must not:

• Violate any applicable laws, regulations, or third-party rights
• Generate content that is harmful, abusive, threatening, defamatory, or violates intellectual property rights
• Attempt to bypass rate limits, access restrictions, or security measures
• Use the Service for unauthorized data mining, scraping, or automated access beyond normal API usage
• Misrepresent your identity, affiliation, or relationship with any person or entity
• Interfere with, disrupt, or impose unreasonable load on the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract source code from our Service
• Use the Service to develop directly competing products without explicit written permission
• Submit prompts designed to exploit, test, or probe the vulnerabilities of AI models
• Use the Service to generate spam, phishing content, or malware
• Attempt to manipulate leaderboard rankings or performance metrics

Violation of these terms may result in immediate termination of access.

6. API Usage and Rate Limits

Rate Limits

• Rate limits apply per API key to ensure service availability for all users
• Current limits are displayed in your account dashboard
• Rate limits may change during the alpha phase
• Consistent rate limit violations may result in account suspension

Fair Use

• The Service is intended for reasonable, good-faith use
• Excessive usage that impacts service availability for others may be throttled
• We reserve the right to impose additional restrictions for abusive patterns

Commercial Use

• Commercial use during alpha requires explicit approval

• Pricing for commercial tiers will be announced prior to general availability

7. Content and Intellectual Property

Your Content

• You retain all rights to prompts and inputs you submit ("Your Content")
• You grant us a limited, worldwide license to process Your Content solely for providing the Service
• You represent that Your Content does not violate third-party rights
• You are solely responsible for Your Content and its consequences

Our Service

• Pnyx AI, including our name, logo, routing algorithms, and platform features, are owned by Pnyx AI
• Our Service is protected by copyright, trademark, patent, and other intellectual property laws
• You may not use our trademarks, branding, or proprietary features without written permission
• Open-source components we release are licensed under their respective licenses (as specified in repositories)

AI-Generated Content

• You own the outputs generated by AI models through our Service
• We make no claims to AI-generated outputs
• However, AI providers may have their own terms regarding outputs—review their policies
• You are responsible for reviewing, verifying, and appropriately using all AI-generated content
• AI outputs may be factually incorrect, biased, or inappropriate—always verify before use

Leaderboard Data

• Performance metrics and model rankings displayed on our public leaderboard are owned by Pnyx AI
• You may reference or cite leaderboard data with proper attribution
• You may not scrape, systematically download, or republish leaderboard data without permission

8. Privacy and Data

Your use of the Service is governed by our Privacy Policy, available at pnyxai.com/privacy. By using Pnyx AI, you agree to our data collection, use, and sharing practices as described in the Privacy Policy.

Key points:

• We do not store the content of your prompts or AI responses
• We collect metadata for routing, performance analysis, and service improvement
• Your prompts are sent to third-party AI providers to generate responses

9. Third-Party AI Providers

Our Service routes requests to third-party AI providers.

When you use our Service:

• You agree to comply with each provider's terms and policies
• We are not responsible for provider availability, performance, or content policies
• Provider terms may impose additional restrictions on usage
• Some providers may have usage limits or content restrictions

You should review each provider's terms before submitting content through our Service.

10. Fees and Payment

Current Status

• During the alpha phase, the Service is provided at no cost
• Pricing for beta and general availability will be announced with at least 30 days notice

Future Pricing

• Paid plans will be introduced before or at general availability
• Pricing will be based on usage, with transparent billing
• We will provide clear notice and migration options before implementing charges
• Alpha users may receive preferential pricing or credits (details to be announced)

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PNYX AI DISCLAIMS ALL WARRANTIES, INCLUDING:

• Accuracy: AI-generated content may contain errors, inaccuracies, or biases
• Fitness for Purpose: The Service may not meet your specific requirements
• Availability: Uninterrupted, timely, secure, or error-free service
• Reliability: Accuracy of results, routing decisions, or model recommendations
• Security: Complete security of data transmission or storage
• Compliance: That outputs comply with your specific legal or regulatory requirements

AI-Specific Disclaimers

• AI models may produce outputs that are factually incorrect, biased, harmful, or offensive
• Routing decisions are based on heuristics and may not always select the optimal model
• Model performance varies by task, and past performance does not guarantee future results
• Leaderboard rankings are based on our evaluation methodology and may not reflect your specific use case
• Always review and verify AI-generated content before relying on it for important decisions

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Exclusion of Damages

PNYX AI SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Service
• Unauthorized access to or alteration of your transmissions or content
• Third-party conduct or content on the Service
• Errors or inaccuracies in AI-generated content

Cap on Liability

Our total liability for all claims arising from or related to the Service shall not exceed the greater of:

• $100 USD, or
• The amount you paid us in the 12 months before the event giving rise to liability

Third-Party Liability

We are not responsible for:

• Actions, omissions, or content of third-party AI providers
• Availability or performance of third-party services
• Changes to third-party terms or pricing

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pnyx AI, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law, regulation, or third-party rights
• Your Content or any content you submit through the Service
• Your use of AI-generated outputs
• Any dispute between you and a third party

This indemnification obligation survives termination of these Terms and your use of the Service.

14. Account Termination and Suspension

Our Right to Terminate

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms or our policies
• Fraudulent, illegal, or harmful activity
• Abusive behavior toward other users, our team, or the Service
• Prolonged inactivity (typically 6+ months without use)
• At our sole discretion during the alpha phase
• If required by law or legal process

Your Right to Terminate

You may stop using the Service at any time. To request account deletion, contact us at [email protected].

Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• API keys will be revoked
• We may delete your account data per our Privacy Policy retention schedules
• Sections of these Terms that by their nature should survive will remain in effect

15. Service Modifications and Availability

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time
• Change features, functionality, APIs, or routing algorithms
• Update these Terms with reasonable notice (material changes announced via email)
• Implement new features or remove existing ones
• Adjust rate limits or usage policies
• Change supported AI providers

During the alpha phase, such changes may occur without advance notice. We will strive to minimize disruption and provide migration guidance for breaking changes when possible.

16. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes.

Informal Resolution

Before filing a legal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We commit to working in good faith to resolve disputes before resorting to formal legal proceedings.

Arbitration

For disputes that cannot be resolved informally, both parties agree to binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in Delaware. Each party will bear its own costs.

Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pnyx AI regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as explicitly stated.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or infrastructure failures.

Relationship

Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and Pnyx AI.

Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo and are not on any U.S. government restricted parties list.

Beta Transition

When the Service transitions from alpha to beta or general availability:

• We will provide at least 30 days notice
• New terms (if any) will be provided for acceptance
• Pricing structures will be clearly communicated
• Alpha users may receive benefits or credits (details to be announced)

19. Acknowledgment

BY USING PNYX AI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

For alpha users: You additionally acknowledge the experimental nature of the Service and accept the risks and limitations described in Section 2.
